America Movil wordt binnenkort gedwongen haar belangen in Zuid-Amerika (Mexico) te verkleinen.
Verkoop van onderdelen is positief voor de balans.
Een verlaging van de credit rating van AM bij een overname (i.s.m. AT&T) van KPN zal van korte duur zijn.

Alleen een complete overname van KPN kan het deal met Telefonica stoppen.

Welke overnameprooi in Duitsland is geschikt voor AT&T:
- Deutsche Telekom: Na de mislukte merger met T-mobile USA, maken AT&T en T-mobile elkaar het leven zuur in Amerika.
- Vodafone: Is beter bevriend met Verizon, dus weinig kans voor AT&T.
- Telefonica/O2 : De vriend van mijn vijand is ook mijn vijand. Een complete overname van Telefonica levert problemen op in Zuid-Amerika (AT&T + Telefonica + America Movil = 80% marktaandeel).
- E-Plus: Een complete overname van KPN is waarschijnlijk goedkoper dan een biedingsstrijd om E-Plus.

America Movil Free to Raise KPN Stake as Pact Ends

Billionaire Carlos Slim’s America Movil SAB (AMXL) ended an agreement with Royal KPN NV (KPN) that capped the Mexican company’s stake in the Dutch phone carrier at about 30 percent, clearing the way for it to boost its stake.
KPN shares jumped as much as 5 percent after KPN and America Movil, its largest shareholder, said the Feb. 20 pact is being terminated immediately. Mexico City-based America Movil raising its stake above 30 percent would require it to bid for all of the company’s shares, according to Dutch law.
Slim would now be freer to use KPN as a means to expand in Europe as the region’s telecommunications market consolidates. America Movil bought its stake in KPN last year, bidding 8 euros a share. KPN since fell to as low as 1.39 euros in June.
KPN rose as high as 1.99 euros and added 4.6 percent to 1.98 euros at 9:25 a.m. in Amsterdam. America Movil didn’t say in its statement whether it intends to increase its holding in KPN, the former Dutch phone monopoly. America Movil has lost 7.4 percent this year in Mexico trading.
To buy KPN outright, America Movil would need to cancel a share buyback and obtain $4 billion of debt financing, Sanford C. Bernstein & Co. analysts said in a note last week. It could also partner with AT&T Inc. for a bid, they said.
Last week, KPN agreed to sell its German wireless carrier E-Plus to Telefonica Deutschland Holding AG (O2D), controlled by Spain’s largest phone company and owner of the O2 brand in Germany, in a deal valued at 8.1 billion euros ($10.7 billion). It’s unclear whether Slim personally supports the E-Plus sale, two people familiar with the matter have said.

America Movil may keep its two nominees on KPN’s supervisory board as long as it holds a stake of 20 percent or more, the companies said.
The Netherlands is emerging as one center of dealmaking activity as intensifying competition and slowing sales in Europe’s telecommunications industry is leading to consolidation. John Malone’s Liberty Global Plc said last week it raised its stake in Dutch cable-television operator Ziggo NV (ZIGGO), a KPN rival, to 28.5 percent from 18.2 percent, which it said was for strategic reasons.
Ziggo shares jumped as much as 5.9 percent to 29.60 euros and rose 5.1 percent to 29.36 euros at 9:25 a.m. Amsterdam time.

Belangrijkste vraag voor vandaag is, waarom de overeenkomst NU beeindigen, en niet later (tegelijk met een bod).

- AT&T heeft haast (America movil en AT&T hebben dit al maanden voorbereid).
- Liberty Global uitbreiding van Ziggo kan de overnameproces van KPN versnellen.

Een mogelijkheid is dat KPN en America Movil (+ AT&T) afgelopen weekend tot een deal zijn gekomen.
KPN zal een overname door AM + AT&T steunen bij een veel hogere koers (moet veel hoger zijn dan de oude koers van 8 euro, vanwege Blok).

De koers nu laten stijgen, zorgt alleen voor een lagere premium bij een bod later.
Een lagere premium is meer acceptabel voor aandeelhouders van AM en AT&T.

Bij de laatste overname door AT&T (juli 2013) werd er bijna 100% premium betaald.
AT&T is niet zo krenterig (doel heiligt de middelen).

Een andere optie is dat America Movil en AT&T vandaag met een bod komt.
Het bod is ten opzichte van de slotkoers van vrijdag (ongeacht of het bod s'morgens of s'middags wordt bekend gemaakt).
Een stijging nu heeft geen invloed op het bod.

Of er komt helemaal geen bod en AM kijkt voorlopig de kat uit de boom. De verkoop van E-plus is nog geen gelopen koers.

AM wil niet nog dieper in de schulden, dus ben benieuwd naar de constructie die ze gaan verzinnen.

America Movil currently controls just less than 30% of KPN and has two representatives on the telco's board. If it grew its shareholding the likelihood is its influence in the boardroom would increase; however, whether it could do that in time to successfully block the E-Plus sale remains to be seen.

Furthermore, if the E-Plus sale does go ahead, it makes a full takeover of KPN less attractive to America Movil.

"KPN, without E-Plus, doesn't offer anyone, including America Movil, a veritable platform for expansion in Europe," said Ovum principal analyst Emeka Obiodu, in an email to Total Telecom.

He suggested that if KPN sells E-Plus, America Movil would be unlikely to launch a takeover bid.

"I am not convinced that any foreign, non-EU player would go through the hassle of buying KPN just for the assets in Netherlands and Belgium," he said.

There are regulatory issues to consider too.

"Even if the [Dutch] government has no golden shares [in KPN], it will surely kick up a fuss over a non-EU takeover," Obiodu said.

Nonetheless, there could be other potential suitors.

Without E-Plus, "KPN is severely vulnerable to a takeover because it is now seen as weak", he said, noting that a trimmed-down KPN could appeal to private equity players or sovereign wealth funds.

That could make it difficult for América Móvil to persuade shareholders to block the sale, the proceeds of which KPN’s management has promised to partially return to shareholders in a special dividend.

On a conference call last Friday with analysts during the presentation of its second-quarter results, the América Móvil’s chief executive, Daniel Hajj, said the company was still analyzing the proposed E-Plus sale.

That could indicate that América Móvil is planning a takeover bid for KPN, Mr. Draper said.

“If you take Mr. Slim at his word, that he is in this for the long haul, and that KPN is a foothold for América Móvil in Europe, then this is an unmissable opportunity for him to acquire KPN,’’ Mr. Draper said. “The shares of KPN are very cheap.’’

Shares in Slim's America Movil fall 1.45 pct after KPN deal ends

(Reuters) - Shares in Mexican billionaire Carlos Slim's America Movil fell as much as 1.45 percent at the open on Monday after the telecoms company ended an agreement to keep its holding in Dutch telco KPN below 30 percent.

America Movil, which owns 29.8 percent of KPN, was entitled to end the agreement after Spain's Telefonica bid 8.1 billion euros ($10.7 billion) for KPN's German mobile arm E-Plus, KPN said earlier on Monday.

The end of the deal could signal America Movil may bid for the whole of KPN.
